This End Customer License Agreement (“License Agreement”) is effective upon execution by and between MyAgent24Seven, a global customer support and automation service platform operated by registered entities in the United Kingdom and Pakistan (“MyAgent24Seven”), and the Customer identified in the Statement of Work (“Customer”).
Customer and MyAgent24Seven are each referred to as a “Party” and collectively as the “Parties.”
If the Customer acquires Services (as defined below) via a Partner (defined below), this License Agreement will govern the relationship between the Customer and MyAgent24Seven, regardless of terms set by the Partner.
BY SIGNING A STATEMENT OF WORK, OR USING ANY MyAgent24Seven SERVICE, YOU AGREE TO BE BOUND BY THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE ANY SERVICE OFFERED BY MYAGENT24SEVEN.
1. “Affiliates” means entities under common control or ownership with a Party.
2. “Authorized User” refers to individuals permitted by the Customer to access and use the Services.
3. “Customer” refers to the entity purchasing or using the Services, as listed in the SOW.
4. “Customer Data” refers to any data provided by the Customer to MyAgent24Seven through use of the Services.
5. “Facility” means Customer locations where Services will be utilized.
6. “Fees” as defined in Section 5.1.
7. “License Agreement” means this full agreement and any annexes or attachments.
8. “Partner” means any authorized reseller or distributor of MyAgent24Seven’s services.
9. “Partner Contract” is the agreement authorizing such a Partner.
10. “Services” refers to AI-powered customer support, chatbot, and automation solutions delivered by MyAgent24Seven.
11. “Service Data” refers to anonymized or aggregated data captured from service use for performance improvement and analytics.
12. “Service Software” means any proprietary SaaS tool developed and owned by MyAgent24Seven, including chatbot systems and automation modules.
13. “Subscription” grants the Customer the right to access and use the Services as described in the SOW.
14. “Subscription Start Date” is the start date defined in the applicable SOW.
15. “Subscription Term” refers to the valid duration of service usage under an SOW.
16. “Statement of Work” or “SOW” defines the deliverables, pricing, and scope agreed between the Customer and either MyAgent24Seven or an authorized Partner.
This License Agreement defines the terms under which MyAgent24Seven provides Services to the Customer, as outlined in the applicable SOW.
This Agreement begins on the Effective Date and remains valid until all active SOWs have expired or are terminated in accordance with these terms.
4.1. License Grant MyAgent24Seven grants the Customer a limited, non-exclusive, non-transferable license to access and use the Services as described in the SOW.
4.2. Ownership & Feedback MyAgent24Seven retains all rights to the software, technology, data, and improvements. Any customer feedback may be freely used by MyAgent24Seven without obligation or compensation.
5.1. Fees The Customer agrees to pay fees as specified in the SOW.
5.2. Payment Terms Payment timelines and methods will be defined in the applicable SOW.
6.1. Term & Renewal This Agreement continues through the Subscription Term of each SOW unless terminated earlier.
6.2. Termination for Convenience Either party may terminate with 30 days’ written notice.
7.1. Disclaimer MyAgent24Seven provides services “as-is” without warranties unless explicitly stated.
7.2. Customer Warranty The Customer warrants that they are legally authorized to enter this Agreement.
Neither party shall be liable for indirect or consequential damages, even if previously advised of such potential losses.
Each party agrees to maintain the confidentiality of proprietary information shared during the course of this Agreement.
10.1. Governing Law This Agreement is governed by the laws of the State of New York, USA.
10.2. Entire Agreement This document and any SOWs constitute the full agreement between the Parties.
10.3. Amendments Any changes must be in writing and signed by both parties.
